How We Engage — No Signed Mandate Required

Lokazen operates on a simple service-availed-and-invoiced basis. A formal mandate, signed MoU, stamp paper, or wet-ink contract is not required for these Terms to apply to you and for our fees to become due.

You are deemed to have engaged Lokazen and accepted these Terms the moment you avail any of our services through any medium of communication, including (without limitation):

  • Signing up for a brand or owner account on lokazen.in
  • Requesting property recommendations, shortlists, or location-intelligence reports via WhatsApp, email, phone call, in-person meeting, or any other channel
  • Receiving an introduction from us to a property, brand, lessor, or lessee — whether by message, call, email, listing share, or live meeting
  • Attending a site visit organised, accompanied, or facilitated by Lokazen
  • Replying to a Lokazen shortlist, brand brief, or owner pitch in a way that indicates you wish to continue
  • Sharing property details, brand requirements, photos, or contact information with Lokazen for use on the platform

Under Section 10 of the Indian Contract Act, 1872, agreements need not be in writing to be enforceable. Your conduct in availing the service is the agreement. Once you have engaged us in any of the ways above, you are bound by these Terms, the Refund Policy, and the Service Delivery Policy, and Lokazen is entitled to invoice you for the services availed.

Invoices are payable on receipt unless a different timeline is agreed in writing. Disputes on an invoice must be raised within 7 days of issue; after that the invoice is deemed accepted and payable. Non-payment attracts late charges, suspension of services, and may be recovered through the courts at Bengaluru, with interest and recovery costs.

No-circumvention. Once Lokazen has introduced a brand to a property or a property to a brand — through any channel — the parties may not transact directly with each other in order to avoid Lokazen's success fee or other applicable fees for a period of twelve (12) months from the date of first introduction. Any such transaction concluded within this window, with or without our continued involvement, attracts the full success fee as if Lokazen had remained engaged.

Our Role — Read This First

Lokazen is a commercial real estate intelligence and listing service. Our role is to use data and automated matching to help brands and property owners discover each other, and to provide location intelligence about Bangalore commercial real estate.

Our responsibility ends there. Lokazen is not a party to any lease, rental agreement, sub-lease, licence, leave-and-licence, transfer, sale, joint-venture, revenue-share, franchise, management arrangement, or any other commercial or legal arrangement entered into between a lessor (property owner) and a lessee (brand or tenant) introduced through our platform — whether or not Lokazen continues to be involved after the introduction.

Lokazen is not acting as a real estate agent, broker, lawyer, valuer, surveyor, custodian, escrow, financier, guarantor, or fiduciary. We do not represent either side in negotiations and we do not warrant the truth, accuracy, completeness, title, or condition of any property, brand, or person on the platform. All information surfaced through Lokazen — including automated match scores, rankings, location intelligence, footfall estimates, and rental benchmarks — is provided as decision-support only, on an "as is" and "as available" basis, without any express or implied warranty.

We are not responsible for, and have no liability arising out of, anything that occurs between the lessor and the lessee — including, without limitation:

  • Negotiation, drafting, execution, registration, stamping, notarisation, or enforcement of any lease, rental agreement, MoU, term sheet, or any other document between the parties
  • Payment of rent, security deposit, advance, brokerage, maintenance, common-area maintenance (CAM), electricity, water, internet, taxes, or any other amount between the lessor and lessee
  • Default on rent, security-deposit refund disputes, cheque bounces, GST disputes, TDS disputes, or any other monetary dispute
  • Property title, ownership, encumbrance, mortgage, litigation, occupancy certificate, completion certificate, conversion order, or any title-related defect
  • Property condition, fit-out, civil works, modifications, repairs, maintenance, hidden defects, structural issues, water seepage, or workmanship of any contractor
  • Quiet enjoyment, eviction, lock-out, possession disputes, dispossession, re-entry, or any access dispute
  • Compliance with municipal, fire, BBMP, BESCOM, BWSSB, pollution control, FSSAI, excise, GST, signage, parking, shop & establishment, labour, or any other regulatory requirement applicable to the premises or the business operated from them
  • Damage, injury, death, theft, loss, or any incident affecting property, persons, employees, customers, or third parties on or by the premises
  • Lock-in periods, exit penalties, renewal terms, rent escalation, indexation, or any post-introduction commercial term
  • Insurance, force majeure events, business interruption, or losses caused by acts of God, civil unrest, regulatory action, pandemic, or governmental order
  • Communications, disputes, claims, criminal complaints, civil suits, arbitration, mediation, or proceedings of any kind between the lessor and lessee, whether during or after the lease term

Both lessors and lessees must carry out their own independent legal, financial, technical, and commercial due diligence, take independent professional advice, verify documents and credentials, conduct their own site inspections, and execute documentation directly between themselves. Any reliance placed on Lokazen content, scores, recommendations, or staff statements is at your sole risk.

By availing Lokazen's services through any channel, you accept this division of responsibility and you agree to indemnify and hold Lokazen, N & G Ventures, and their officers, employees, and agents harmless against any claim, loss, damage, cost, or expense (including legal fees) arising out of any dispute or event between you and any other party introduced through the platform.

Scouts & Other Gig Platforms — Read This If You're a Scout

The Lokazen Scout Programme is non-exclusive. We know many Scouts also work concurrently as gig or platform workers for Rapido, Swiggy, Zomato, Uber, Ola, Dunzo, Zepto, Blinkit, BigBasket, Urban Company, Porter, Shadowfax, Delhivery, Amazon Flex, Flipkart, Instamart, Magicpin, and similar ride-hailing, food-delivery, quick-commerce, logistics, home-services, or e-commerce platforms ("Other Platforms"). Those names are listed descriptively only — Lokazen has no affiliation, partnership, joint venture, sponsorship, or endorsement relationship with any of them. All marks are the property of their respective owners.

Lokazen is not a joint employer, co-employer, partner, agent, or principal with any Other Platform. Lokazen accepts zero responsibility and zero liability for anything that happens in a Scout's engagement with any Other Platform — including accidents, injuries, deaths, wages, deductions, taxes, suspensions, deactivations, KYC failures, benefits, insurance, ESIC, EPF, equipment, route disputes, customer interactions, or any criminal, civil, administrative, or regulatory proceeding involving the Other Platform.

The Scout represents that no agreement with any Other Platform conflicts with their participation here, that Lokazen has not induced any breach of any Other-Platform agreement, and that the Scout will indemnify Lokazen against any claim brought by, or on behalf of, any Other Platform — including claims of joint employment, vicarious liability, respondeat superior, tortious interference, inducement to breach, unfair competition, or misclassification — arising from the Scout's concurrent engagement.
